1. The agreement
These Terms of Service ("Terms") are a binding agreement between the business that holds an ApnaTheka account ("you", "your organization") and Accorgminds Private Limited, CIN U62099RJ2025PTC108933, of 2nd Floor, AMJ Royal Tower, Opp. Police Line, Bikaner 334001, Rajasthan, India ("we", "us"). By creating an account, signing in, or paying for the service you accept these Terms, our Privacy Policy and our Refund & Cancellation Policy. They replace the version dated 24 June 2026.
2. The service
ApnaTheka is cloud software for licensed liquor businesses: purchase and excise registers, the guarantee, sale registers and the daily parcha, stock, cash and bank books, double-entry accounts and reports, a POS terminal and an Android app for the shop, and an optional QR portal for a shop's customers. It is licensed to you on a subscription; it is not sold.
3. Who may use it
- You must be a business competent to contract under the Indian Contract Act, 1872, represented by an adult.
- You must hold the liquor licence or permit that the law of your state requires for the shops you record in the service.
- The details you give us about your business and its shops must be accurate and kept up to date.
4. Accounts and logins
- An account belongs to one organization. The organization creates its companies, shops and staff logins itself, and decides what each login may do through its role.
- You are responsible for everything done under your organization's logins, and for keeping them private. A login handed to someone who has left must be switched off from your settings.
- Tell us at once at accorgminds@gmail.com if you believe a login has been misused.
- We may suspend a login or an account that is used in breach of these Terms, or whose subscription is unpaid (section 5).
5. Subscription and payment
- Plans and prices are quoted to you before you pay — on enquiry, at the demo, or in writing — and are not published on the website. A plan applies to a company; an organization pays for each of its companies.
- Fees are payable in advance for the term chosen. GST is added at the rate in force. A tax invoice is issued for every payment.
- You may pay online through PhonePe, an RBI-authorised payment aggregator, or by bank transfer, UPI, cheque or cash recorded by our team against your invoice.
- If an invoice is overdue, access to that company is blocked until it is paid. Your data is kept and access is restored on payment.
- Prices may change for a new term. We tell you before the term begins.
6. Delivery
The service is delivered over the internet. Your organization is set up with you — company, shops, opening balances, price labels and staff logins — and there is nothing physical to ship.
7. Refunds and cancellation
Refunds and cancellation are governed by the Refund & Cancellation Policy, which is part of these Terms.
8. Acceptable use
You will use the service only for a lawful business and in line with GST, income-tax, excise and consumer-protection law. You will not:
- record fictitious, unlicensed or smuggled stock or transactions, or use the service to evade tax or excise duty;
- attempt to reach another organization's data or our infrastructure, or probe the service for weaknesses;
- copy, decompile, reverse-engineer or resell the software, or extract its data in bulk other than through the exports it offers;
- upload malware, or use the service to send messages the recipient has not agreed to receive;
- share a login outside your business.
9. Your data
- The records your organization enters remain yours. You give us a licence to host, process, back up and transmit them only to run the service.
- You are responsible for their accuracy and for their correctness under tax and excise law. The service calculates from what you enter; it does not verify it against the department.
- Registers and reports can be exported from the application at any time. When an account closes, a copy of its books is provided on request.
- How your data is kept, shared and deleted is set out in the Privacy Policy and the Data & Account Deletion page.
10. Services inside the service
Some features use another provider, and by using the feature you accept that provider's involvement:
- Smart Entry sends the invoice photo or PDF to Anthropic's API to be read. It is a draft for you to check; the bill you save is your responsibility.
- WhatsApp messages go through Meta's WhatsApp Business Platform, and email through Google's mail servers.
- Google Drive, if you connect it, receives the daily PDFs into your own Drive.
- PhonePe processes online payments under its own terms.
We are not responsible for an outage or a change at one of these providers, but we will tell you when a feature is affected.
11. The customer portal and orders
- A shop that switches on its QR portal is responsible for what it offers there and for every sale it makes. An order placed on the portal is a request to the shop; the sale happens at the counter, under the shop's licence, at the shop's price.
- The portal is only for people of legal drinking age in their state; it asks for a declaration of being 21 or older. The shop must refuse a sale the law does not allow.
- Membership ranks, credit points and offers are the shop's own scheme with its customers. Points are not money and cannot be exchanged for cash.
12. Accounting firms
An organization may engage an accounting firm on one or more of its companies. The firm sees only the books it is engaged on and works under these Terms as the organization's representative. The organization may end an engagement at any time from its settings.
13. Intellectual property
The software, its design, the ApnaTheka name and logo, and the documentation belong to Accorgminds Private Limited. You receive only the right to use the service as these Terms allow.
14. Availability
We aim to keep the service available at all times but do not guarantee it. It may be unavailable for maintenance (announced in advance where practical), for urgent security work, because of a failure at a provider we depend on, or for reasons outside our control. The shop app and POS keep a shop billing while its internet is down and sync when it returns.
15. Liability
- The service is provided as it is. We do not warrant that it is free of error or fit for a purpose we have not stated.
- We are not liable for loss of profit, loss of business, penalties or demands raised by a tax or excise authority, or any indirect loss.
- Our total liability for any claim in a subscription year is limited to the fees you paid us for that company in that year.
- You will indemnify us against claims arising from your breach of these Terms or of the law.
16. Ending the agreement
- By you: write to accorgminds@gmail.com. Your subscription runs to the end of the paid term and is not renewed.
- By us: for a breach of these Terms that is not remedied within 15 days of notice, for unlawful use at once, or for non-payment after the block in section 5.
- After the end: your data is handled as the Data & Account Deletion page describes. Sections 9, 13, 15 and 18 survive.
17. Changes
We may revise these Terms. The dates at the top change with them, and a material change is announced by email or inside the application at least 15 days before it applies. Continuing to use the service after that date is acceptance.

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Bikaner, Rajasthan.
